1. The copyright in artwork commissioned by the Client shall be retained by the Illustrator.Payment
2. The Client shall pay 50% of the final price upfront and 50% before receiving the final product.3. The Client shall pay all invoices within 30 days of receipt. Interest at a rate of 8% per month.Cancellation
4. The Illustrator reserves the right to suspend any project if the Client interferes with excessive micromanaging, demonstrates a continued lack of trust and inability to move forward after receiving more than a reasonable number of unique ideas and sketches, and/or refuses to pay the agreed final payment.5. The Client reserves the right to suspend or cancel the project should work not meet project objectives as defined in initial planning or not meet the schedule.6. If a commission is canceled by the Client, the Client shall pay a cancellation fee as follows:I. 25% of the total price if the commission is canceled before delivery of roughs.II. 33% of the total price if the commission is canceled at the rough stage.III. 100% of the total price if the commission is canceled on the delivery of artwork.IV. Pro-rata if the commission is canceled at an intermediate stage.7. In the event of cancellation, ownership of all rights granted under this Agreement shall revert to the Illustrator unless the artwork is based on the Client’s visual or otherwise agreed.Delivery
8. The Illustrator shall use their best endeavors to deliver the artwork to the Client by the agreed date and shall notify the Client of any anticipated delay at the first opportunity.9. The illustrator shall not be liable for any consequential loss or damages arising from the late delivery of the artwork.10. The Client shall make an immediate objection upon delivery if the artwork does not follow the brief. If such objection is not received by the Illustrator within 21 days of delivery of the artwork it shall be conclusively presumed that the artwork is acceptable.Changes
11. If the Client requires changes, additions, or variations to the work or brief, the Illustrator may request additional time to consider the changes. The Illustrator may refuse to make changes, additions, or variations that change the nature of the project.12. During the draft phase, the Client can request up to three (3) new drafts with changes.13. If the Client requests more than three (3) alterations, a modification fee will be charged, as stipulated below:I. 25% of the total price if ordered during the drafts phase.II. 33% of the total price if requested after the drafts phase.III. 100% of the total price if requested upon delivery of the finished work.IV. Pro-rata if requested in an intermediate stage.Warranties
14. Except when the work is based on materials or references provided by the Client, the Illustrator warrants that the work is original, does not infringe any copyright and has not been used on another occasion.15. The Client warrants that any necessary permissions for using materials and references for the work have been appropriately obtained by the Client.16. Client will indemnify the Illustrator against any claims and expenses, including legal fees, arising from using any material provided by Client.Ownership
17. The Illustrator retains ownership of all material delivered to the Client, including drafts.18. Illustrator's original work shall not be intentionally destroyed or altered without Illustrator's written consent.19. The Client shall ensure that the Illustrator is credited in any editorial use of the work.
